Why Washington, DC

One of the strongest and most durable M&A markets in the country.

The Washington metropolitan area is the fifth largest metro economy in the United States, producing roughly $600 billion in annual output across a region of more than six million people. What makes it exceptional for M&A is not the size alone. It is the durability.

Federal spending anchors demand through cycles that flatten other markets. Around that anchor sits a dense ecosystem of government services contractors, IT and cybersecurity firms, healthcare practices, engineering and infrastructure services, professional services, and home services businesses. These are precisely the recurring-revenue, essential-service companies that private equity platforms and strategic consolidators compete hardest to acquire.

Yet most are owned by founders in their late fifties and sixties with no succession plan, in a region where owners rarely find an advisor who understands both the operating business and the real estate underneath it. That gap is where we work.

What we do

Advisory across the full arc of a liquidity event.

Most firms stop at the closing table. We treat the sale as the midpoint, not the finish line, because the proceeds still have work to do.

  • Sell-Side M&A Advisory

Our core practice. A confidential, targeted process built to create genuine competitive tension without exposing your business to the open market.

    • Valuation and financial normalization
    • Blind teaser and CIM preparation
    • Curated, named-buyer outreach
    • LOI negotiation through close
  • Business Valuation

Know your number before a buyer tells you theirs. We rebuild Seller's Discretionary Earnings and EBITDA with defensible add-backs.

    • SDE and EBITDA reconstruction
    • Comparable transaction analysis
    • Defensible add-back documentation
    • Written valuation opinion
  • Exit Planning

Most of the value in any transaction is created in the 12 to 36 months before going to market. We map that work and help you execute it.

    • Transaction readiness assessment
    • Customer concentration reduction
    • Management depth and systems
    • Timeline and tax coordination
  • Commercial Real Estate

Multifamily, mixed-use, retail, and office across the DC metro. Acquisition, disposition, and repositioning for private owners and investors.

    • Multifamily and mixed-use brokerage
    • Underwriting and cap rate analysis
    • Off-market sourcing
    • Repositioning and value-add strategy
  • Buy-Side Advisory

For acquirers, searchers, and family offices building through acquisition. We source off-market targets directly rather than working marketplace listings.

    • Acquisition thesis development
    • Proprietary target sourcing
    • Owner outreach and qualification
    • Diligence and structuring support
  • Capital Redeployment

What happens after the wire clears. We help exiting owners convert proceeds into private real estate and cash-flowing assets that replace operating income.

    • 1031 exchange strategy
    • Private real estate placement
    • Passive income structuring
    • Legacy and wealth planning

About the firm

A lower middle market M&A advisory firm headquartered in Washington, DC.

The Nid Group advises founders, business owners, and high net worth families through the two moments that define generational wealth: the exit, and everything that comes after it. Sell-side M&A and commercial real estate are not separate practices here. They are one continuous strategy.

Most owners spend decades building a business and a few weeks deciding how to sell it. That asymmetry is where value quietly disappears. We exist to close it.

We run confidential, senior-led processes for owner-operated businesses across the DC metro and Mid-Atlantic. Every engagement is led start to finish by the advisor who takes the first call. Founders are not handed to a junior analyst once the engagement letter is signed, and the person who reads your financials is the person who negotiates your LOI.

What separates us is what happens next. A completed sale creates a liquidity event, and most advisors stop there. We help clients redeploy that capital into private real estate and acquisition opportunities that replace the income the business used to produce. Exit, then reinvest. That is the whole thesis, and it is why the firm exists.

What we do

  • Sell-Side M&A Advisory

Valuation, packaging, targeted buyer outreach, and negotiation through close. Blind teasers and mandatory NDAs protect the business at every stage.

  • Business Valuation & Exit Planning

Know your number before the market tells you. We rebuild SDE and EBITDA, then map the work that materially raises value ahead of a sale.

  • Commercial Real Estate Brokerage

Multifamily, mixed-use, retail, and office across the DC metro. Acquisition, disposition, and repositioning for private and middle-market owners.

  • Buy-Side & Acquisition Search

Off-market target sourcing for buyers and searchers, with owner readiness signals and direct, discreet outreach rather than marketplace listings.

  • Capital Redeployment & 1031

Post-close strategy for exiting owners: private real estate, 1031 exchanges, and cash-flowing assets that replace operating income.

  • Wealth & Legacy Strategy

For high net worth families and high-income professionals: converting earned income into passive wealth that funds lifestyle, freedom, and legacy.

The advisor

The advisor you meet is the advisor who closes your deal.

I spent years watching capable people build valuable businesses and then hand most of that value away at the closing table, usually because nobody told them what the number should have been.

I am Aty Biswese, founder and principal advisor of The Nid Group. I hold a BBA in Finance from Morehouse College and an MBA from Emory University's Goizueta Business School, and I built this practice at the intersection of two things that are almost always advised separately: the sale of a privately held business, and the real estate and capital strategy that determines what that sale is actually worth to a family ten years later.

My work in the Washington DC area began in real estate, representing investors and owners across the District, Maryland, and Northern Virginia. Over time the same conversation kept surfacing. Owners were not only asking what their building was worth. They were asking what their business was worth, whether they could retire on it, and who they could trust to tell them the truth. Most had been quoted a number by someone who stood to earn a commission on it.

So I built a firm to answer that question honestly. Today I advise founders on sell-side M&A, prepare valuations and Confidential Information Memoranda, broker commercial real estate across the DC metro, and help high net worth families and high-income professionals convert earned income into passive wealth that funds their lifestyle and legacy.

Every engagement I take on is one I personally lead. The person who reads your financials is the person who negotiates your letter of intent. That is not a marketing position. It is the only way I know how to do this work well.

Our mission

To make the exit the beginning, not the end.

We help high-performing owners and professionals convert what they have built into wealth that outlives the building of it: passive income, protected capital, and a legacy that does not depend on their labor.

Too many owners reach the finish line with high income and little passive wealth, no bandwidth for deal analysis, overexposure to public markets, and no clear exit plan. We were founded to solve exactly that. Private by design, disciplined by process, and accountable to one measure: whether our clients are freer after the transaction than they were before it.

  1. 01

    Confidentiality is operational

Blind teasers, named-buyer outreach, and NDAs before any disclosure. Never a marketplace blast.

  2. 02

    Senior judgment, start to finish

The advisor who takes your first call is the one who negotiates your terms.

  3. 03

    Certainty over headline price

A high offer that collapses in diligence is worth less than a fair one that closes.

  4. 04

The capital has a second job

Our work is not finished at close. Proceeds must be redeployed to produce income again.

Washington, DC · Global Reach · Private by Design

The Nid Group facilitates confidential business and commercial real estate transactions across the DC metro market. Every deal gated by a listing-specific NDA before a single number changes hands.

Real Estate
/ M&A Advisory

Every listing on this platform is reviewed by an advisor before it goes live. Confidential fields never reach a buyer's browser until their NDA is signed and recorded. This isn't a courtesy, it's enforced at the database level.

Three pillars · one platform

Everything a confidential deal needs, in one place.

  • 01

    CRE Listing Feed

Commercial listings from Crexi and Bright MLS, shown in a separate catalog with each listing brokerage identified.

  • 02

    NDA & Deal Management

Buyers request access, e-sign a listing-specific NDA, and the CIM unlocks automatically or on your review, fully tracked end to end.

  • 03

    Marketing & Syndication

Push listings to Facebook, LinkedIn, and the major business marketplaces from one console.

How the Deal Room works

01 · Browse the blind teaser

See industry, region, revenue range, and asking price. Company name and address stay redacted until you're cleared to view them.

02 · Sign the listing-specific NDA

Every NDA is bound to one listing. Signing unlocks that deal only, not the rest of our pipeline.

03 · Review the CIM

Once signed, the confidential memorandum and full financials unlock immediately, or on your advisor's manual release, your choice as the listing owner.

Connected data & tooling

Built to plug into the tools you already use.
